Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Audit Ready Systems (“Audit Ready”, “we”, “us”, or “our”). These Terms govern your access to and use of the Audit Ready platform at auditready.systems, including all related services, features, and content (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1. Agreement to Terms

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Eligibility

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent that you meet this age requirement.

Additional Terms

Certain features of the Service may be subject to additional terms or policies. Where additional terms apply, they will be presented to you before you access the relevant feature, and those terms will supplement (not replace) these Terms.

2. Description of Services

Audit Ready is a Software-as-a-Service (SaaS) platform that provides AI-powered compliance auditing services. The Service enables you to:

  • Upload documents for compliance assessment against recognised regulatory and industry frameworks
  • Receive AI-generated compliance reports including compliance scores, individual control findings, scope classifications, and remediation guidance
  • Use the Chat Assistant to ask questions about your audit results
  • Manage workspace notes related to your compliance activities
  • Convert and merge documents into formats suitable for analysis

The Service is available in multiple tiers with varying page limits, credit allocations, and feature access. Each audit analyses a single document against a single regulatory framework. The Service does not support multi-framework auditing within a single scan.

We may update, modify, or discontinue features of the Service from time to time. If we make material changes that significantly reduce the functionality available under your current tier, we will provide you with reasonable advance notice.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account, whether or not you authorised it
  • Notifying us immediately at support@auditready.systems if you become aware of any unauthorised access to your account

3.3 One Account Per Person

Each account is for a single individual. You may not share your account credentials with any other person. You may not create multiple accounts to circumvent tier limits, credit allocations, or other restrictions.

3.4 Account Suspension

We may suspend or restrict access to your account if we reasonably believe that you have violated these Terms, your account has been compromised, continued access poses a security risk, or you have been inactive for more than 12 months (for free-tier accounts).

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

4.1 Content Restrictions

  • Upload documents that you do not have the legal right to process or that infringe the intellectual property rights of any third party
  • Upload files containing viruses, malware, malicious macros, embedded scripts, or other harmful code
  • Upload content that is illegal, defamatory, obscene, or otherwise objectionable

4.2 Service Integrity

  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or AI models underlying the Service
  • Circumvent, disable, or interfere with any security, authentication, or access control features of the Service
  • Attempt to bypass page limits, credit controls, tier restrictions, or rate limits
  • Use automated scripts, bots, scrapers, or other automated means to access the Service without our prior written permission

4.3 Misrepresentation

  • Present AI-generated compliance reports as certified audit outcomes, official regulatory assessments, or professional legal opinions
  • Use the Service to generate false, misleading, or deceptive representations about your organisation's compliance status
  • Represent that Audit Ready or its reports constitute a formal audit conducted by a licensed auditor or certification body

5. Intellectual Property and Ownership

5.1 Your Content

You retain all ownership rights in any documents, files, or other materials that you upload to the Service (“Your Content”). By uploading Your Content, you grant Audit Ready a limited, non-exclusive, non-transferable licence to process, analyse, and store Your Content solely for the purpose of providing the Service.

5.2 AI-Generated Output

The compliance reports, scores, findings, remediation guidance, scope classifications, and other results generated by the Service (“Output”) are provided to you for your use. You acknowledge that Output is generated by AI models and may not be unique, and that Output does not constitute legal advice, professional certification, or a guarantee of regulatory compliance.

5.3 Platform Intellectual Property

Audit Ready retains all rights, title, and interest in and to the Service, including but not limited to: the platform software, user interface, AI models and configurations, algorithms, system prompts, documentation, trademarks, and all related intellectual property.

5.4 Feedback

If you provide us with suggestions, feature requests, bug reports, or other feedback regarding the Service (“Feedback”), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, modify, and incorporate your Feedback without obligation to you.

6. AI Processing and Disclaimers

6.1 Use of Artificial Intelligence

The Service uses artificial intelligence, including third-party AI models, to analyse your uploaded documents and generate compliance assessments. AI processing is a core function of the Service and is necessary to deliver audit results.

6.2 Data Protection During AI Processing

Before any AI processing occurs:

  • Your documents are scanned for malicious content using an independent threat detection service
  • Structured personal identifiers are automatically detected and masked using data loss prevention technology
  • AI models only process the masked version of your document — never the original
  • Person names, organisation names, locations, dates, and information in narrative form are not masked, as they are necessary for accurate compliance analysis

6.3 No Training on Your Data

Your documents and audit results are never used to train, fine-tune, or improve AI models — whether ours or any third party's.

6.4 Accuracy Disclaimer

You acknowledge and agree that AI-generated compliance assessments may contain inaccuracies, omissions, or errors. The Service does not replace the judgement of qualified legal, compliance, or audit professionals. Compliance scores, findings, and remediation guidance are advisory assessments only and do not constitute legal advice, a professional audit opinion, regulatory certification, or a guarantee that your organisation will pass an audit.

6.5 Your Responsibility

You are solely responsible for evaluating the accuracy and applicability of all AI-generated results, making compliance decisions based on your own professional judgement, and any actions you take or fail to take based on the Service's Output.

7. Fees, Billing, and Credits

7.1 Credit System

The Service operates on a credit-based system. Credits are the unit of account for consuming audit and conversion services. Before each audit, the Service displays an estimated credit cost. Credits are reserved (“held”) at the start of processing and finalised (“settled”) upon completion. If the actual cost is lower than the estimate, the difference is automatically returned to your account.

7.2 Credit Allocation

Each tier includes a defined credit allocation. Current tier details, credit allocations, and pricing are available at auditready.systems/pricing.

7.3 Credit Pools

Your account may contain two types of credits:

  • Subscription credits are allocated monthly as part of a paid subscription plan. Unused subscription credits do not roll over and are forfeited on plan cancellation or downgrade.
  • Purchased credits are acquired through one-time purchases (including one-time tier purchases and credit top-ups). Purchased credits do not expire and are preserved if you downgrade your plan.

When credits are consumed, subscription credits are drawn first, followed by purchased credits.

7.4 Payment Processing

All payments are processed by our third-party payment processor, Stripe. Audit Ready does not receive, store, or have access to your payment card details.

7.5 Currency

All prices and credit values are denominated in United States Dollars (USD) unless otherwise stated at the point of purchase.

8. Subscription Terms and Cancellation

8.1 Subscription Plans

Paid subscription tiers are billed on a monthly recurring basis. Your subscription begins on the date you complete your initial purchase and automatically renews at the end of each billing period unless cancelled.

8.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide pro-rata refunds for partial billing periods.

8.3 Downgrade Effects

If you cancel a subscription or downgrade to a lower tier:

  • Your unused subscription credits will be forfeited at the end of the current billing period
  • Your purchased credits will be preserved
  • Your page limit will be adjusted to reflect your new tier
  • Access to features exclusive to higher tiers will be removed
  • Your existing audit reports and data will remain accessible

8.4 Failed Payments

If a recurring payment fails, we will attempt to process the payment again. If payment continues to fail, we may downgrade your account to the free tier with notice.

9. Confidentiality

9.1 Your Confidential Information

We treat all documents you upload and audit results generated by the Service as your confidential information. We will not disclose your confidential information to any third party except to our sub-processors (subject to data processing agreements), where required by law, or with your express written consent.

9.2 Security Measures

We protect your confidential information using industry-standard technical and organisational measures, including:

  • Encryption of all data in transit using TLS 1.3
  • Encryption of all data at rest
  • Row-level security ensuring users can only access their own data
  • Server-side authentication verification on every API request
  • Automated malware scanning and PII masking before AI processing
  • A formal information security management system aligned to ISO 27001:2022 and ISO 42001:2023

10. Data Handling and Privacy

10.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

10.2 Data Roles

When you upload documents for compliance auditing, Audit Ready acts as a data processor on your behalf. For all other data (account information, usage data, billing records), Audit Ready acts as a data controller.

10.3 Data Location

Your data is processed using cloud services hosted in the United States. Frontend hosting is served via a globally distributed content delivery network.

10.4 Data Retention

We retain your data in accordance with the retention schedule in our Privacy Policy. Key retention periods include:

  • Account data: Until account deletion, plus a 30-day recovery window
  • Uploaded documents and audit results: Until you delete the scan, plus a 30-day soft-delete window
  • Financial records: 7 years (Australian tax record-keeping requirements), anonymised after account deletion

10.5 Account Deletion

You may delete your account at any time via your account settings. Upon deletion, your account is immediately locked, your data enters a 30-day soft-delete period, and after 30 days all data is permanently and irreversibly deleted.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE AUSTRALIAN CONSUMER LAW:

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AUDIT READY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

AUDIT READY DOES NOT WARRANT THAT: (a) The Service will be uninterrupted, timely, secure, or error-free; (b) AI-generated results will be accurate, complete, or suitable for any particular regulatory purpose; (c) The results of any compliance assessment will satisfy the requirements of any regulatory body; (d) Any defects in the Service will be corrected.

THE SERVICE PROVIDES AI-GENERATED ADVISORY ASSESSMENTS ONLY. IT DOES NOT CONSTITUTE LEGAL ADVICE, A PROFESSIONAL AUDIT OPINION, OR REGULATORY CERTIFICATION.

11.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by agreement.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AUDIT READY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Cost of procurement of substitute services
  • Regulatory fines, penalties, or sanctions arising from your reliance on the Service

12.2 Aggregate Liability Cap

AUDIT READY'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (a) the total amount you paid to Audit Ready in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred United States Dollars (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Audit Ready from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to:

  • Your breach of these Terms or any applicable law
  • Your Content, including any claim that Your Content infringes third-party intellectual property rights
  • Your misrepresentation of AI-generated results as certified audit outcomes or professional legal opinions
  • Any third-party claim arising from your use of the Service or your reliance on the Output

14. Term, Termination, and Suspension

14.1 Term

These Terms are effective from the date you first access or use the Service and continue until terminated by either party.

14.2 Termination by You

You may terminate your account at any time by cancelling any active subscription through your account settings and deleting your account.

14.3 Termination by Us

We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, we are required to do so by law, your account appears compromised, or we discontinue the Service (with at least 60 days' notice).

14.4 Effect of Termination

Upon termination: your right to access the Service ceases immediately, any outstanding subscription credits are forfeited, and your data enters the 30-day soft-delete period described in Section 10.5.

15. Third-Party Services

The Service relies on third-party services for certain functions, including AI processing, cloud infrastructure, payment processing, email delivery, authentication, and document processing. Audit Ready is not responsible for the availability, performance, or accuracy of third-party services.

15.4 Sub-Processor List

A list of our current third-party sub-processors is available upon request by contacting privacy@auditready.systems.

16. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect or by displaying a prominent notice within the Service. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.

17.2 Jurisdiction

The parties submit to the exclusive jurisdiction of the courts of New South Wales, Australia.

17.3 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve the dispute informally within 30 days of written notice.

17.4 Class Action Waiver

To the maximum extent permitted by applicable law, all disputes must be brought in your individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Audit Ready regarding the Service.

18.2 Severability

If any provision of these Terms is held to be invalid, the remaining provisions continue in full force and effect.

18.3 No Waiver

Our failure to enforce any provision at any time does not constitute a waiver of that provision.

18.4 Assignment

You may not assign your rights under these Terms without our prior written consent. Audit Ready may assign its rights in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control.

18.6 Notices

All legal notices to Audit Ready must be sent to legal@auditready.systems. Notices to you will be sent to the email address associated with your account.
